01Acceptance of these terms

These Terms of Service (the “Terms”) apply to your access to and use of:

• learnupwrd.com;
• upwrdtrading.com;
• UPWRD’s courses and educational products;
• UPWRD’s checkout and course platform hosted through Podia; and
• other content, products, services and communications provided by UPWRD.

Together, these are referred to as the “Services.”

By accessing, browsing, purchasing or otherwise using the Services, you agree to these Terms, UPWRD’s Privacy Policy and Risk Disclaimer.

If you do not agree, do not use or purchase the applicable Services.

Where a particular product or offer has additional terms presented before purchase, those additional terms also apply to that purchase.

02About UPWRD

UPWRD is a financial education brand founded by Jen Dupuy and operated from Quebec, Canada.

UPWRD provides educational and informational content and products relating to financial topics. Beginner-friendly trading education is currently a primary focus.

UPWRD may expand its educational offerings over time. Nothing in these Terms represents that every possible educational topic or service is currently available.

03Educational purpose only

All UPWRD content is provided solely for educational and informational purposes.

This includes content provided through:

• websites;
• courses;
• lessons;
• videos;
• downloads;
• worksheets;
• emails;
• newsletters;
• social media;
• charts and examples;
• workshops;
• programs; and
• other UPWRD resources or communications.

Nothing UPWRD provides constitutes personalized financial, investment, trading, legal, tax or accounting advice.

UPWRD does not provide individualized investment recommendations and does not advise any person to buy, sell or hold a particular security, investment or financial instrument.

UPWRD is not a:

• broker;
• investment dealer;
• portfolio manager;
• financial planner;
• financial advisor;
• investment advisor;
• tax advisor;
• legal advisor;
• accounting firm;
• signal service; or
• copy-trading service.

UPWRD does not manage customer funds and does not execute trades on behalf of customers.

04Your responsibility

You remain solely responsible for:

• evaluating the information UPWRD provides;
• determining whether the information is appropriate for your circumstances;
• conducting your own research and due diligence;
• making your own financial, trading and investment decisions;
• determining your own risk tolerance and capacity for loss; and
• obtaining advice from appropriately qualified and, where required, licensed professionals.

Accessing, purchasing or completing UPWRD education does not transfer responsibility for your decisions or their outcomes to UPWRD.

05Trading and investment risk

Trading and investing involve substantial risk.

You may lose some or all of the money you trade or invest. You should never trade or invest money that you cannot afford to lose.

Examples, charts, demonstrations, case studies, hypothetical results and historical results are provided for educational purposes only. They do not guarantee future performance or represent what you will achieve.

Before making a financial, trading or investment decision, you should independently assess the risks and seek professional advice where appropriate.

06Eligibility

To purchase a paid UPWRD product, you must:

• be legally capable of entering into a binding contract under the laws applicable to you;
• provide accurate registration and purchase information; and
• comply with these Terms.

UPWRD’s paid products are intended for adults.

If you are a minor under the laws applicable to you, you may use the Services only with the involvement and consent of a parent or legal guardian.

If you use the Services on behalf of an organization, you confirm that you are authorized to bind that organization to these Terms.

07Products and services

UPWRD may provide free and paid educational offerings, including:

• online courses;
• digital educational products;
• videos;
• downloadable materials;
• worksheets;
• tools and resources;
• workshops;
• programs;
• newsletters; and
• other educational services.

UPWRD may introduce, modify or discontinue products and services over time.

The description, price, currency, access period, features and inclusions displayed on the applicable product or checkout page at the time of purchase form part of your purchase agreement.

08Trading Foundations

Trading Foundations is a self-paced educational course intended to introduce foundational trading concepts.

The course is educational only. Purchasing or completing Trading Foundations does not guarantee:

• trading profitability;
• investment returns;
• employment;
• income;
• financial independence;
• financial freedom;
• a particular level of skill; or
• any other financial outcome.

The course contents, number of lessons and included resources may be updated or improved over time without materially reducing the educational product purchased.

The access period applicable to Trading Foundations is displayed on the product and checkout pages before purchase.

09Pricing and currency

Paid UPWRD educational products are currently priced in US dollars unless another currency is clearly displayed before purchase.

The applicable price and currency will be shown on the product or checkout page before you complete the transaction.

UPWRD may change prices for future purchases at any time. A price change will not retroactively alter a purchase that has already been completed.

Any applicable taxes will be disclosed or applied as required at checkout.

Your bank, card issuer or payment provider may apply currency-conversion fees or other charges. UPWRD does not control those charges.

10Payments

Unless expressly stated otherwise before checkout, a paid digital product is sold as a one-time purchase.

Payments may be processed through Stripe and facilitated through Podia. These providers process payment information under their own terms and privacy practices.

UPWRD does not directly store complete credit or debit card numbers.

You agree to provide accurate and authorized payment information. You authorize the applicable payment provider to charge the amount displayed at checkout.

If UPWRD introduces a subscription, membership, recurring payment or instalment plan in the future, the billing frequency, amount, renewal conditions and cancellation terms will be disclosed before purchase.

11Account access

Course access may be provided through UPWRD’s course platform hosted by Podia.

Your account and access credentials are personal to you. You are responsible for:

• keeping your login information confidential;
• using accurate account information;
• activity occurring through your account; and
• notifying UPWRD if you suspect unauthorized access.

You may not share, sell, transfer or publicly distribute your account credentials or paid course access.

Unauthorized account sharing may result in restriction, suspension or termination of access, subject to applicable law.

12Digital delivery

Paid digital products are generally made available electronically after a successful purchase.

Delivery may occur through:

• a Podia customer account;
• a course-access page;
• email;
• a download link; or
• another electronic method disclosed at checkout.

You are responsible for providing a valid email address and maintaining access to the email account used for purchase.

If you do not receive access after a successful purchase, contact hello@learnupwrd.com.

13Refund policy

Except where a different refund policy is expressly displayed for a particular offer, or where applicable law provides a mandatory right or remedy that cannot be excluded, purchases of paid digital educational products are final and non-refundable once completed.

UPWRD does not voluntarily provide a refund solely because a purchaser:

• changes their mind;
• does not access or use the product;
• does not complete the course;
• expected different content;
• expected different results;
• does not achieve a desired trading or financial result;
• experiences a trading or investment loss; or
• does not become profitable.

Purchasing educational content does not guarantee any particular result.

Nothing in this section limits a right or remedy granted by applicable consumer-protection law that cannot legally be waived or excluded.

If you believe there is a technical, billing or delivery problem with your purchase, contact hello@learnupwrd.com so UPWRD can review the situation.

14No guarantee of results

UPWRD does not guarantee:

• profitability;
• trading success;
• investment performance or returns;
• income;
• employment or business opportunities;
• financial independence or financial freedom;
• any particular financial outcome; or
• any particular skill-development timeline.

Results vary between individuals and depend on many factors outside UPWRD’s control.

Educational content cannot eliminate financial, trading or investment risk.

15Intellectual property

Unless identified as third-party content, UPWRD owns or licenses its:

• course materials;
• videos;
• lessons;
• written content;
• educational frameworks;
• worksheets;
• PDFs;
• graphics;
• website content;
• branding;
• logos;
• design elements; and
• other original materials.

When you purchase or receive UPWRD content, UPWRD grants you a limited, personal, non-exclusive, non-transferable and revocable right to use that content for your own personal educational purposes.

Unless UPWRD provides written permission, you may not:

• copy or reproduce UPWRD materials;
• redistribute UPWRD materials;
• upload paid materials to another website or platform;
• share paid course access;
• resell or sublicense UPWRD materials;
• commercially exploit UPWRD materials;
• publicly display, distribute or record restricted content for redistribution;
• remove intellectual-property notices; or
• represent UPWRD materials as your own.

Nothing in this section restricts a use that applicable law expressly permits and that cannot legally be restricted by contract.

16Acceptable use

You agree not to:

• use the Services for an unlawful purpose;
• interfere with the operation or security of the Services;
• attempt to gain unauthorized access to an account, system or restricted content;
• introduce malicious code;
• scrape, copy or systematically extract protected content without authorization;
• impersonate another person;
• provide false or fraudulent information;
• infringe UPWRD’s or another person’s intellectual-property rights;
• share or distribute paid access without authorization;
• use UPWRD content to create or sell a substantially similar competing product; or
• use the Services in a way that harms UPWRD, its providers or other users.

17Third-party services

UPWRD uses third-party providers that may include:

• Podia for course hosting, checkout, student accounts and course delivery;
• Stripe for payment processing;
• Google for website analytics;
• Microsoft for website analytics and user-experience measurement; and
• CookieScript for consent management on upwrdtrading.com.

Third-party services operate under their own terms, policies and technical requirements.

Except where applicable law provides otherwise, UPWRD is not responsible for the independent acts, omissions, availability or content of a third-party service.

18External links

The Services may include links to third-party websites, platforms, tools or resources.

Links may be provided for convenience or educational reference and do not necessarily represent an endorsement.

You are responsible for reviewing the terms, privacy practices, fees and risks of any third party you choose to use.

19Availability and modifications

UPWRD may:

• update or improve educational content;
• correct errors;
• modify website features;
• perform maintenance;
• add or discontinue products; and
• temporarily restrict access for technical, operational or security reasons.

Where you purchased access to a product, UPWRD will not remove that access in a way that contradicts the material terms presented at the time of purchase or applicable law.

If a purchased product must be retired, UPWRD will take reasonable steps to provide notice, continued access for a reasonable period or a reasonable alternative where appropriate.

20Suspension or termination

UPWRD may restrict, suspend or terminate access for a serious violation of these Terms, including:

• unauthorized account sharing;
• unauthorized distribution of materials;
• fraud;
• unlawful conduct;
• security abuse;
• intellectual-property infringement; or
• conduct that materially harms UPWRD, its providers or other users.

Where reasonable in the circumstances, UPWRD will provide notice and an opportunity to address the issue.

Any suspension or termination will be carried out consistently with applicable law.

21Disclaimer of warranties

To the extent permitted by applicable law, the Services are provided on an “as available” basis.

UPWRD does not warrant that:

• the Services will always be uninterrupted or error-free;
• every technical problem will be corrected immediately;
• the Services will meet every individual expectation;
• educational content will produce a particular result; or
• all information will remain current indefinitely.

Nothing in these Terms excludes a legal warranty or consumer right that cannot lawfully be excluded.

22Limitation of liability

The Services are educational.

To the extent permitted by applicable law, UPWRD is not responsible for:

• financial, trading or investment decisions you make;
• losses resulting from those decisions;
• reliance on educational examples or content;
• indirect, incidental, special or consequential damages;
• interruptions caused by third-party platforms or services; or
• unauthorized access caused by your failure to protect your account credentials.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited, including liability resulting from intentional or gross fault and rights preserved by mandatory consumer-protection law.

23Indemnification

To the extent permitted by applicable law, you agree to indemnify UPWRD against third-party claims, damages and reasonable costs resulting from:

• your unlawful use of the Services;
• your infringement of UPWRD’s or a third party’s intellectual-property rights;
• your unauthorized redistribution of UPWRD materials;
• fraudulent conduct; or
• a material violation of these Terms.

This section applies only to the extent permitted by the laws applicable to you.

24Privacy

UPWRD’s collection and handling of personal information are described in its Privacy Policy.

The Privacy Policy includes information about:

• personal information collected;
• Podia and Stripe;
• Google Analytics 4;
• Microsoft Clarity;
• CookieScript;
• cookies and consent choices;
• international processing; and
• your privacy rights.

The Privacy Policy forms part of these Terms.

25Governing law

These Terms are governed by the laws applicable in the Province of Quebec and the federal laws of Canada applicable there.

This provision does not limit any mandatory consumer-protection rule or jurisdictional right that applies to you where you live and that cannot legally be waived.

26Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be interpreted or limited to the minimum extent necessary.

The remaining provisions will continue to apply.

27No waiver

If UPWRD does not immediately enforce a provision of these Terms, that does not waive its right to enforce the provision later.

A waiver is effective only if it is clearly provided in writing.

28Entire agreement

These Terms, the Privacy Policy, the Risk Disclaimer and any additional terms displayed for a specific product form the agreement between you and UPWRD regarding the applicable Services.

They replace prior discussions or representations about the same subject, except for information and commitments expressly presented on the applicable product or checkout page at the time of purchase.

29Changes to these terms

UPWRD may update these Terms as its Services and business practices evolve.

The “Last updated” date identifies the current version.

Changes apply going forward. They are not intended to retroactively alter the material terms that applied to a purchase already completed.

Material changes will be communicated where appropriate.
