Terms of Use

These Terms explain what UPWRD provides, what it does not provide, and the rules that apply when you use UPWRD’s websites and educational products.

01Acceptance of terms

These Terms of Use (the “Terms”) apply to your access to and use of UPWRD’s websites, educational content, products and services (together, the “Services”). By accessing, browsing, purchasing or otherwise using the Services, you agree to be bound by these Terms.

If you do not agree with these Terms, please do not use the applicable Services. Where a specific product, program or offer has its own additional terms, those additional terms apply to that product in addition to these Terms.

02About UPWRD

UPWRD is a financial education brand founded by Jen Dupuy and operated from Quebec, Canada. UPWRD provides educational and informational products and content relating to financial topics.

Beginner-friendly trading education is currently a primary focus. UPWRD is being built as a broader financial education platform and may offer education in other areas over time. Nothing in these Terms should be read as a statement that every possible area of education is currently offered.

Note for review: UPWRD’s operating legal entity name has not been confirmed and is not stated here; UPWRD is described only as a brand. A physical address is not published at this time. Some Quebec commercial and consumer-facing disclosures may require an operating legal name and/or a physical address — this should be confirmed with a Quebec lawyer before relying on these Terms.

03Educational purpose only

All UPWRD content is provided for educational and informational purposes only. This includes, without limitation, content delivered through the website, courses, videos, downloads, emails, newsletters, social media, examples, charts, workshops and any other UPWRD resource or communication.

Nothing provided through the Services should be interpreted as personalized financial, investment, trading, legal, tax or accounting advice. UPWRD does not provide individualized investment recommendations and does not advise any specific person to buy, sell or hold any particular security, investment or financial instrument.

UPWRD is not a broker, investment dealer, portfolio manager, financial planner, financial advisor, investment advisor, tax advisor, legal advisor, accounting firm, signal service or copy-trading service. UPWRD does not manage customer funds and does not execute trades on behalf of customers.

04Your responsibility

You remain responsible for:

  • evaluating the information UPWRD provides;
  • determining whether that information is appropriate for your own circumstances;
  • conducting your own research and due diligence;
  • making your own financial, trading and investment decisions;
  • determining your own risk tolerance and capacity for loss; and
  • seeking advice from appropriately qualified and, where required, licensed professionals when necessary.

Accessing, purchasing or completing UPWRD education does not transfer responsibility for your decisions or their outcomes to UPWRD.

05Eligibility

To purchase paid digital educational products, you must be able to enter into a binding contract under the laws that apply to you, and you must provide accurate registration and purchase information. If you are using the Services on behalf of an organization, you confirm that you are authorized to do so.

If you are a minor under the laws that apply to you, you should only use the Services with the involvement and consent of a parent or legal guardian.

Note for review: No specific minimum age is stated. Whether UPWRD should set a minimum age (and what it should be) depends on contractual capacity rules in Quebec and in other markets where customers may purchase. This provision should be confirmed with a Quebec lawyer.

06Products and services

UPWRD may make available free and paid educational offerings, including courses, digital educational products, resources, downloadable materials, videos, workshops, programs, newsletters and other educational services.

UPWRD may add, modify or discontinue products and services over time. These Terms are intended to apply to UPWRD’s offerings generally rather than to create a fixed list of products.

07Product information and pricing

Paid educational products are currently priced in US dollars (USD). The applicable product description, price, currency, access terms, features, inclusions and other material information about a purchase will be presented on the relevant product page and/or checkout page at the time of purchase, and that information governs the specific purchase. The currency of a given offer may vary and will always be clearly displayed before you complete the purchase.

UPWRD may change pricing for future purchases at any time. Price changes do not retroactively alter a purchase that has already been completed.

08Payments

Payment terms are disclosed before you complete a purchase. Unless clearly stated otherwise before checkout, a paid digital product is sold as a one-time purchase.

If UPWRD later introduces subscriptions, memberships, recurring billing or instalment plans, the billing frequency, renewal terms, price and cancellation information for those offers will be disclosed before purchase. Nothing here should be read as a statement that UPWRD currently operates a subscription business.

Payments are processed through Stripe, a third-party payment processor. Payment information is handled by Stripe under its own terms and privacy practices; UPWRD does not directly store complete credit or debit card information.

Any applicable taxes will be disclosed or applied as required at the time of purchase. UPWRD does not currently add GST or QST to its displayed prices.

Note for review: UPWRD’s tax collection and invoicing obligations in Quebec (including any future requirement to collect GST/QST) have not been finalized. This should be verified with an accountant or lawyer and reflected here if UPWRD’s tax obligations change.

09Refund policy

Except where a different refund policy is expressly stated for a particular offer, or where applicable law provides a mandatory right or remedy that cannot legally be excluded, all sales of paid digital educational products are final and non-refundable once purchased.

UPWRD does not voluntarily issue refunds solely because a purchaser:

  • changes their mind;
  • does not use the product or does not complete the course;
  • expected different content or different results;
  • does not achieve a desired trading or financial result;
  • experiences trading losses; or
  • does not become profitable.

Purchasing educational content does not guarantee any specific financial result.

Nothing in this section limits or waives any right or remedy that applicable consumer-protection law grants you and that cannot legally be excluded. If you believe something went wrong with your purchase, contact hello@learnupwrd.com and UPWRD will review the situation.

Note for review: Quebec consumer-protection rules (including rules on distance contracts and required pre-contractual disclosure) may affect how a “final sale” policy can be applied to consumers. This section should be reviewed by a Quebec lawyer.

10No guarantee of results

UPWRD does not guarantee:

  • profitability or trading success;
  • investment performance or returns;
  • income, financial independence or financial freedom;
  • any specific financial outcome; or
  • any specific skill-development timeline.

Individual results vary and depend on factors outside UPWRD’s control. Educational content does not eliminate financial risk. Please also read the Risk Disclaimer.

11Account access and security

Where you receive individual access to a paid educational product, that access is personal to you. You are responsible for maintaining the security of your account and login credentials, and for activity that occurs under your account.

Login credentials should not be shared. Unauthorized account sharing or distribution of paid access may result in suspension or termination of access where appropriate and subject to applicable law.

Any access period that applies to a specific product will be disclosed on the applicable product or checkout page.

12Intellectual property

Except where third-party content is identified as such, UPWRD owns or licenses its original course materials, videos, written content, educational frameworks, worksheets, PDFs, graphics, website content, branding, logos, design elements and other original materials.

You receive a limited, personal, non-exclusive, non-transferable right to use materials you have purchased or that UPWRD provides free of charge, for your own personal educational purposes.

Without UPWRD’s written permission, you may not:

  • copy, reproduce or redistribute UPWRD materials;
  • upload UPWRD materials elsewhere or share paid access;
  • resell, sublicense or commercially exploit UPWRD materials;
  • publicly distribute or record restricted content for redistribution; or
  • represent UPWRD materials as your own.

This section is not intended to restrict uses that applicable law permits and that cannot be contractually restricted.

13Acceptable use

You agree not to:

  • use the Services for any unlawful purpose;
  • interfere with or disrupt the website or its functionality;
  • attempt to gain unauthorized access to any system, account or content;
  • introduce malicious code or engage in other malicious activity;
  • infringe intellectual property rights;
  • engage in fraudulent activity; or
  • commercially exploit UPWRD content without authorization.

14Third-party services

UPWRD uses third-party providers for functions that may include website hosting, course hosting and delivery, payment processing, email, analytics, communications, forms, marketing and general business infrastructure. Providers may change over time.

Third-party services operate under their own terms and privacy policies. Except as required by applicable law, UPWRD is not responsible for the acts, omissions, availability or content of third-party services.

16Availability and modifications

UPWRD may update content, improve educational materials, modify website features, add or discontinue products, and perform maintenance or technical work that temporarily affects availability.

Where you have purchased access to a product, UPWRD will not remove that access in a way that is contrary to what was promised at the time of purchase or to applicable law. If a purchased product must be retired, UPWRD will take reasonable steps to provide notice or a reasonable alternative.

17Suspension or termination

UPWRD may restrict, suspend or terminate access to the Services for serious violations of these Terms, including unauthorized account sharing, unauthorized distribution of materials, fraud, unlawful conduct, security abuse or intellectual property infringement.

Any such action will be taken in a manner consistent with applicable law, and where reasonable in the circumstances UPWRD will provide notice and an opportunity to resolve the issue.

18Limitation of liability

The Services are educational. To the extent permitted by applicable law, UPWRD is not liable for financial, trading or investment decisions you make, for losses arising from those decisions, or for indirect, incidental, special or consequential damages arising from your use of, or reliance on, UPWRD content.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited, including liability for intentional or gross fault and any liability that mandatory consumer-protection law preserves.

Note for review: Quebec law (including the Civil Code of Quebec and the Consumer Protection Act) restricts how liability can be limited, particularly with consumers. The scope of this section — and whether a monetary cap such as amounts paid in the preceding period is appropriate and enforceable — should be reviewed by a Quebec lawyer.

19Indemnification

To the extent permitted by applicable law, you agree to indemnify UPWRD against third-party claims, damages and reasonable costs arising from your unlawful use of the Services, your infringement of UPWRD or third-party intellectual property rights, or your unauthorized redistribution of UPWRD materials.

Note for review: Indemnities given by consumers are limited or unenforceable in some circumstances under Quebec law. This provision should be reviewed by a Quebec lawyer.

20Governing law

These Terms are intended to be governed by the laws applicable in the Province of Quebec and the federal laws of Canada applicable there, without limiting any mandatory consumer-protection rules or jurisdictional rights that apply to you where you live.

Note for review: Choice of law and choice of forum clauses are restricted for consumer contracts in Quebec and in several other jurisdictions. This provision should be reviewed by a Quebec lawyer before it is relied on.

21Changes to these terms

UPWRD may update these Terms as its services evolve. The “Last updated” date at the top of this page identifies the current version, and material changes will be communicated where appropriate. Changes apply going forward and are not intended to alter the terms that applied to a purchase you already completed.
